Terms of Service

1. About Orion

Orion is a marketing strategy platform that turns your business inputs into AI-generated personas, brand voice, messaging matrices, ad copy, imagery prompts and channel recommendations. You remain responsible for reviewing, editing and approving any outputs before using them in live campaigns.

2. Acceptance and authority

By using Orion, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you use Orion on behalf of a business or organisation, you represent that you are authorised to bind that entity.

3. Account responsibilities

• Keep your login credentials confidential and secure.
• Provide accurate, complete and current information, and update it as needed.
• You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to misuse Orion. Prohibited conduct includes, but is not limited to:

• Using the Service for unlawful, fraudulent or deceptive purposes.
• Generating or distributing spam, malware or harmful content.
• Infringing intellectual property rights or other third-party rights.
• Attempting to probe, scan, reverse engineer, circumvent usage limits or interfere with the security or performance of the Service.
• Using Orion to create illegal content, hate speech, harassment, deepfakes, disinformation or other harmful outputs.

5. AI-generated outputs

Orion uses generative AI to produce marketing content. Outputs are generated automatically and may not always be accurate, appropriate or suitable for your specific situation. You are solely responsible for reviewing outputs for accuracy, brand safety, compliance and legal suitability before publication. Outputs should not be relied on as financial, investment, legal, tax or professional advice without independent review.

You retain ownership of the original business inputs you provide. We grant you a limited, non-exclusive, non-transferable right to use the generated outputs for your own marketing purposes, subject to these Terms.

6. Intellectual property

CGM Innovation retains all rights, title and interest in Orion, including its software, designs, branding, documentation and underlying technology. Nothing in these Terms grants you any ownership, licence or right to copy, modify, distribute or resell the Service itself.

7. Subscriptions, billing and payments

Orion is offered on a subscription basis. Fees, billing frequency and plan limits are described on our pricing page and in your account.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms.

8. Service level

We aim to keep Orion available and reliable, but we do not guarantee uninterrupted or error-free performance. The Service is provided on an "as is" and "as available" basis.

9. Warranties and liability

To the fullest extent permitted by law, CGM Innovation disclaims all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability is limited to the fees you paid to us in the 12 months preceding the claim. We are not liable for indirect, consequential or special damages, including lost profits, data or goodwill, except where liability cannot be excluded by law (such as fraud, death or personal injury).

10. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, pose a security or fraud risk, or repeatedly violate our acceptable use policy. Upon termination, your right to use Orion ceases immediately. Data may be retained or deleted in accordance with our Privacy Notice and applicable law.

11. Governing law and disputes

These Terms are governed by the laws of South Africa. Any dispute arising from these Terms or your use of Orion will be subject to the exclusive jurisdiction of the courts of South Africa.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after the changes take effect constitutes acceptance.
